A Legal Disclaimer

CRELIT IS A SOFTWARE-AS-A-SERVICE (SaaS) PLATFORM ONLY. CRELIT IS NOT A CREDIT REPAIR COMPANY, CREDIT COUNSELING SERVICE, DEBT NEGOTIATION SERVICE, OR FINANCIAL ADVISORY FIRM.

By using Crelit, you acknowledge and agree to the following:

a. Crelit Provides No Credit Services. Crelit is a tools platform designed to help you organize and manage your credit repair business operations. Crelit does NOT:

  • Provide credit repair services

  • Provide credit counseling or advice

  • Negotiate with creditors or credit bureaus on your behalf

  • Guarantee credit score improvements

  • Guarantee successful credit disputes

  • Provide legal advice regarding credit matters

  • Act as your attorney or fiduciary

b. You Are Responsible for Credit Services. If you are providing credit repair, credit counseling, or related services to your clients (referred to as "End Clients"), YOU are solely responsible for:

  • Obtaining all necessary federal, state, and local licenses and certifications

  • Complying with the Fair Credit Reporting Act (FCRA) and Regulation V

  • Complying with the Credit Repair Organizations Act (CROA)

  • Complying with the Telephone Consumer Protection Act (TCPA)

  • Complying with the Controlling the Assault of Non-Solicited Pornography and Marketing Act (CAN-SPAM)

  • Complying with all state and local consumer protection laws

  • Obtaining written consent from all End Clients before submitting their data to Crelit

  • Providing all legally required disclosures to End Clients

  • Maintaining data security and protecting End Client information

c. Crelit Does Not Assume Your Regulatory Obligations. Crelit will not be held responsible for:

  • Your failure to obtain necessary licenses or certifications

  • Your violation of FCRA, CROA, TCPA, CAN-SPAM, or any other law

  • Regulatory investigations, fines, penalties, or enforcement actions against you

  • Your failure to provide proper disclosures to End Clients

  • Your mishandling or improper use of End Client data

  • Any legal disputes between you and your End Clients

  • Claims that you are operating as an unlicensed credit repair organization

d. No Guarantee of Results. Crelit makes no representations or warranties regarding:

  • The success rate of credit disputes

  • Improvements to credit scores

  • The accuracy of credit reports or data

  • The likelihood of successful credit repair outcomes

  • Any specific results from using Crelit

e. You Are Not Our Client; You Are a Subscriber. The relationship between Crelit and you is that of a software service provider and customer. Crelit is not your attorney, fiduciary, or advisor. If you need legal advice, please consult a qualified attorney licensed in your jurisdiction.

f. Crelit Assumes No Liability for Your Business Operations. Crelit is not liable for:

  • Your business decisions or practices

  • Your treatment of End Clients

  • Claims brought by End Clients against you

  • Your compliance or non-compliance with law

  • Any damages, losses, or harm resulting from your use of the Services

  • Your failure to comply with this Disclaimer

BY USING CRELIT, YOU AFFIRM THAT YOU UNDERSTAND AND ACCEPT FULL RESPONSIBILITY FOR COMPLIANCE WITH ALL APPLICABLE LAWS AND REGULATIONS, AND THAT CRELIT IS PROVIDING ONLY SOFTWARE TOOLS TO ASSIST YOUR BUSINESS OPERATIONS.

IF YOU DO NOT AGREE WITH THIS DISCLAIMER, DO NOT USE CRELIT.

1. DEFINITIONS

"Account" means any accounts created by, or on behalf of, Subscriber or its Affiliates within the Services.

"Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with the subject entity. "Control," for purposes of this definition, means direct or indirect ownership or control of more than 50% of the voting interests of the subject entity.

"Authorized User" means an individual who is authorized by Subscriber to use a Service, for whom Subscriber has purchased a subscription, and to whom Subscriber (or, when applicable, Crelit at Subscriber's request) has supplied a user identification and password.

"Content" means information obtained by Crelit from publicly available sources or its third-party content providers and made available to Subscriber through the Services.

"Crelit Services" or "Services" means the software-as-a-service platform provided by Crelit that allows Subscribers to manage credit repair client information, organize disputes, track progress, and access educational resources.

"End Client" means any individual for whom Subscriber is providing credit repair services or assistance, and whose information is submitted to the Crelit Services via unique access links.

"Force Majeure" means any circumstances beyond Crelit's reasonable control including, but not limited to, an act of God, act of government, flood, fire, earthquake, civil unrest, act of terror, strike or other labor problem, internet service provider failure or delay, pandemic, or acts undertaken by third parties including denial of service attack.

"Free Trial" means the initial 15-day trial period during which Subscriber may access the Services at no charge.

"Order Form" means an ordering document or online order specifying the Services to be provided hereunder.

"Planned Downtime" means unavailability of services for upgrades and maintenance to the Services scheduled in advance.

"Purchased Services" means Services that Subscriber purchases through an online purchasing portal or Order Form.

"Subscriber" means the individual or company that accepts this Agreement and uses the Crelit Services.

"Subscriber Data" means electronic data and information submitted by or for Subscriber to the Services, excluding Content. This includes End Client data submitted via unique access links.

2. IMPORTANT DISCLAIMER REGARDING REGULATORY COMPLIANCE

CRELIT IS A SOFTWARE TOOL ONLY AND NOT A CREDIT REPAIR COMPANY. Subscriber acknowledges and agrees that:

  • Crelit is a platform tool designed to assist Subscriber in managing credit repair operations and client information

  • Crelit does NOT provide credit repair, credit counseling, debt negotiation, or any related services

  • SUBSCRIBER ASSUMES FULL RESPONSIBILITY for compliance with all federal, state, and local laws and regulations governing credit repair services, including but not limited to:​

    • The Credit Repair Organizations Act (CROA) and state laws regulating credit services organizations

    • The Telephone Consumer Protection Act (TCPA)

    • The Controlling the Assault of Non-Solicited Pornography and Marketing Act (CAN-SPAM)

    • State and local consumer protection laws

    • Any applicable data privacy and protection laws

  • The Fair Credit Reporting Act (FCRA) and its implementing regulations (Regulation V, 12 C.F.R. Part 1022)

  • Subscriber is solely responsible for obtaining all necessary licenses, certifications, and complying with all disclosure requirements mandated by applicable law

  • Crelit will not be held liable for any violation of these laws by Subscriber or for Subscriber's failure to comply with regulatory requirements

  • All credit reports, credit data, and personally identifiable information of End Clients are subject to Subscriber's compliance obligations, not Crelit's

3. CRELIT RESPONSIBILITIES

a. Service Provision. Crelit will use commercially reasonable efforts to make the Purchased Services available and accessible to Subscriber. Crelit does NOT guarantee uninterrupted service and is not responsible for temporary interruptions, delays, or unavailability due to maintenance, updates, or circumstances beyond its reasonable control.

b. Support. Crelit will provide standard customer support during business hours via email at sales@crelit.com.

c. Data Availability Upon Termination. Upon request by Subscriber made within 30 days after termination of this Agreement, Crelit will make Subscriber Data available for export or download. After such 30-day period, Crelit will have no obligation to maintain or provide any Subscriber Data and may delete or destroy all copies of Subscriber Data in its systems.

d. Free Trial. The Free Trial period is 15 days from the date Subscriber first accesses the Services. After the Free Trial period ends, Subscriber must purchase a subscription to continue using the Services. ANY DATA ENTERED DURING THE FREE TRIAL WILL BE PERMANENTLY DELETED UNLESS SUBSCRIBER PURCHASES A PAID SUBSCRIPTION AND EXPORTS THE DATA BEFORE THE TRIAL PERIOD ENDS.

e. Service Modifications. Subscriber acknowledges that Crelit may modify the features and functionality of the Services. Crelit shall provide Subscriber with 30 days' advance notice of any removal of material features or functionality.

4. USE OF SERVICES AND SUBSCRIBER RESPONSIBILITIES

a. Login Management. Authorized User Logins are unique to each individual and cannot be shared. Subscriber is responsible for maintaining the confidentiality of all login credentials.

b. Subscriber Responsibilities. Subscriber will:

  • Be responsible for Authorized Users' compliance with this Agreement

  • Ensure all Subscriber Data is accurate, legally obtained, and lawfully used

  • Use the Services only in accordance with this Agreement and applicable law

  • NOT use the Services for any unlawful purpose

  • Prevent unauthorized access to the Services

  • Notify Crelit immediately of any unauthorized access

c. End Client Data. Subscriber acknowledges that:

  • End Client data will be accessed via unique, time-limited links and NOT through a subscriber portal

  • End Clients will have limited ability to view or retrieve their information

  • Subscriber is solely responsible for managing End Client data in compliance with FCRA and all other applicable laws

  • Crelit is NOT responsible for the legality, accuracy, or proper handling of End Client data

  • Subscriber must obtain all necessary consents and authorizations from End Clients before submitting their data to Crelit

d. Usage Restrictions. Subscriber will NOT:

  • Share access to the Services with unauthorized individuals or entities

  • Resell, sublicense, or redistribute the Services

  • Use the Services to store or transmit unlawful, infringing, or defamatory content

  • Use the Services to violate any federal, state, or local law

  • Interfere with or disrupt the integrity or performance of the Services

  • Attempt to gain unauthorized access to the Services

  • Reverse engineer, decompile, or disassemble any part of the Services

  • Use the Services for credit repair counseling, debt negotiation, or any service that Subscriber is not licensed to provide

e. Compliance Responsibility. Subscriber represents and warrants that:

  • Subscriber has all necessary licenses, certifications, and authorizations to provide the services Subscriber offers

  • Subscriber will comply with all applicable federal, state, and local laws

  • Subscriber will not use the Services in violation of FCRA, CROA, TCPA, CAN-SPAM, or any other applicable law

  • All Subscriber Data has been lawfully obtained with proper consent from End Clients

5. FEES AND PAYMENT

a. Subscription Fees. After the 15-day Free Trial period, Subscriber will pay the monthly subscription fee specified in the Order Form or online during signup. Fees are billed monthly in advance.

b. Payment Information. Subscriber authorizes Crelit to charge the credit card or payment method on file for all subscription fees. Subscriber is responsible for providing accurate and updated billing information.

c. Non-Refundable. All fees paid are non-refundable. Subscription fees are non-cancelable during the billing period.

d. Overdue Charges. If payment is 30 days overdue, Crelit may suspend access to the Services without further notice and may charge late interest at the maximum rate permitted by law.

e. Taxes. Subscriber is responsible for all taxes associated with the Services. If Crelit is legally required to collect taxes, Crelit will invoice Subscriber separately.

6. SUBSCRIBER DATA AND PRIVACY

a. Subscriber Data Ownership. Subscriber retains all ownership rights to Subscriber Data. However, Subscriber grants Crelit the right to process and store Subscriber Data as a service provider.

b. Subscriber's Responsibility for Data. Subscriber represents and warrants that:

  • Subscriber owns all Subscriber Data or has the necessary rights and consents to submit it to Crelit

  • Subscriber Data does not infringe any third-party rights

  • Subscriber Data has been lawfully obtained and complies with all applicable laws

  • Subscriber has obtained all necessary consents from End Clients for submission of their data to Crelit

c. Crelit's Use of Data. Crelit may use aggregated and anonymized data for research, product improvement, and analytics. Crelit will not sell Subscriber Data to third parties.

d. No Liability for Data Accuracy. Crelit does not guarantee the accuracy of any Subscriber Data and is not responsible for the consequences of inaccurate, incomplete, or unlawful data submitted by Subscriber.

e. Data Security. While Crelit uses industry-standard security measures, Subscriber acknowledges that no system is completely secure. Crelit is not responsible for unauthorized access to Subscriber Data caused by circumstances beyond Crelit's reasonable control.

7. SUSPENSION OR TERMINATION OF SERVICES

Crelit reserves the right to suspend or terminate Subscriber's access to the Services if:

  • Subscriber violates this Agreement

  • Subscriber uses the Services for unlawful purposes

  • Subscriber violates applicable laws, including FCRA, CROA, or other credit-related regulations

  • Subscriber's use threatens the security or integrity of the Services

  • Payment is overdue

  • Crelit suspects fraudulent activity

Unless legally prohibited, Crelit will attempt to notify Subscriber before suspension. Crelit is not liable for any suspension or termination of Services.

8. WARRANTIES AND DISCLAIMERS

a. Mutual Warranty. Each party warrants that it has the legal authority to enter this Agreement.

b. Disclaimer of Warranties. EXCEPT FOR THE EXPRESS WARRANTIES IN THIS SECTION, CRELIT DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

c. "AS IS" BASIS. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY THAT THE SERVICES WILL MEET SUBSCRIBER'S REQUIREMENTS, BE ERROR-FREE, OR THAT SUBSCRIBER'S USE OF THE SERVICES WILL BE UNINTERRUPTED.

d. No Warranty of Results. Crelit does not warrant that use of the Services will result in successful credit disputes, improved credit scores, or any specific outcome. Crelit is a tool only.

e. Internet Disclaimer. Crelit does not control the transfer of data over the internet and is not responsible for delays, delivery failures, or data loss resulting from internet issues.

9. LIMITATION OF LIABILITY

a. No Liability for Indirect Damages. IN NO EVENT SHALL CRELIT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, EVEN IF CRELIT HAS BEEN ADVISED OF SUCH DAMAGES.

b. Cap on Liability. CRELIT'S MAXIMUM LIABILITY FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY SUBSCRIBER TO CRELIT IN THE SIX MONTHS PRECEDING THE CLAIM.

c. Crelit Not Liable For:

  • Suspension or termination of Services

  • Deletion or loss of Subscriber Data

  • Unauthorized access to or disclosure of Subscriber Data due to Subscriber's failure to protect credentials

  • Third-party claims arising from Subscriber's use of the Services

  • Subscriber's failure to comply with applicable law

  • End Client claims or disputes related to Subscriber's credit repair services

  • Any regulatory investigations, fines, or penalties imposed on Subscriber

10. INDEMNIFICATION

Subscriber agrees to indemnify, defend, and hold harmless Crelit from any claims, damages, losses, or expenses (including attorney fees) arising from:

  • Subscriber's violation of this Agreement or applicable law

  • Subscriber's unlawful use of the Services

  • Subscriber's infringement of any third-party rights

  • End Client claims or disputes

  • Subscriber's failure to comply with FCRA, CROA, or other regulatory requirements

  • Subscriber's mishandling of End Client data

  • Subscriber's provision of credit repair or related services

11. INTELLECTUAL PROPERTY

a. Crelit Ownership. Crelit retains all rights, title, and interest in the Services, including all software, features, functionality, and intellectual property.

b. Limited License. Subscriber is granted a limited, non-exclusive license to use the Services solely for its own business purposes during the subscription term.

c. No Sublicensing. Subscriber may not sublicense, resell, or redistribute the Services.

d. Feedback. Crelit may freely use any feedback, suggestions, or recommendations from Subscriber to improve the Services.

12. CONFIDENTIALITY

a. Confidential Information. Each party will protect the other's confidential information using reasonable care and will not disclose it to third parties without consent.

b. Exceptions. Confidentiality obligations do not apply to information that: (i) is publicly available; (ii) was received from a third party without confidentiality obligations; (iii) is independently developed; or (iv) is required to be disclosed by law.

c. Compelled Disclosure. If Crelit is required by law to disclose Subscriber's information, Crelit will provide advance notice to Subscriber (unless legally prohibited) so Subscriber may seek a protective order.

13. TERM AND TERMINATION

a. Term. This Agreement begins when Subscriber accepts it and continues month-to-month after the Free Trial, unless terminated.

b. Automatic Renewal. Subscriptions automatically renew monthly unless Subscriber cancels. Cancellation must be requested before the renewal date.

c. Termination for Cause. Either party may terminate this Agreement for material breach if the breaching party does not cure within 30 days of written notice. Either party may immediately terminate if the other becomes insolvent or enters bankruptcy.

d. Termination for Convenience. Subscriber may cancel the subscription at any time. No refunds will be issued for the current billing period.

e. Survival. Sections regarding Definitions, Fees, Limitations of Liability, Indemnification, Intellectual Property, Confidentiality, Governing Law, and Disclaimers survive termination.

14. REPRESENTATIONS AND WARRANTIES

Subscriber represents and warrants that:

  • Subscriber has the authority to enter this Agreement

  • Subscriber is not subject to any legal proceedings or regulatory investigations related to credit services

  • Subscriber has all necessary licenses and authorizations to provide the services it offers

  • All Subscriber Data is lawfully obtained with proper consent

  • Subscriber will comply with all applicable federal, state, and local laws

15. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the State of Florida without regard to conflicts of law principles. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Florida.

16. MISCELLANEOUS

a. Modifications. Crelit may modify this Agreement at any time by posting updated terms on the website. Continued use of the Services constitutes acceptance of modified terms.

b. Independent Contractors. Subscriber and Crelit are independent parties and nothing in this Agreement creates a partnership, joint venture, or agency relationship.

c. Assignment. Subscriber cannot assign this Agreement without Crelit's written consent. Crelit may assign its rights to affiliates or in connection with a merger or acquisition.

d. Entire Agreement. This Agreement is the complete and exclusive statement of the parties' understanding regarding the Services.

e. Severability. If any provision is found to be invalid, the remaining provisions remain in effect.

f. Notices. All notices to Crelit should be sent to sales@crelit.com. Notices will be effective when sent via email.
